1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and MindCore LLC ("MindCore," "we," "us," or "our") governing your access to and use of our products, services, and website, including EchoMind, EyeCore, TechMind, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Eligibility

To use our Services, you must:

• Be at least 13 years of age (or 16 years of age in the European Union)
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Services under applicable laws
• Not have been previously banned or removed from our Services

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of our Services, you may need to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. Services Description

4.1 EchoMind

EchoMind is an AI companion application that provides personalized assistance through contextual understanding, memory, and emotional awareness. Features may vary based on subscription tier.

4.2 EyeCore

EyeCore is privacy-aware monitoring infrastructure that powers the MindCore ecosystem. It processes information locally on your device.

4.3 Additional Products

TechMind, VaultCore, GameEye, InterviewCore, and other products may have additional terms specific to their functionality.

5. Subscription and Payment

5.1 Subscription Tiers

We offer various subscription tiers with different features and pricing. Details are available on our pricing page and may be updated from time to time.

5.2 Billing

• Subscription fees are billed in advance on a recurring basis (monthly or annually)
• All fees are non-refundable except as required by law
• We may change pricing with 30 days' notice to subscribers
• You are responsible for all applicable taxes

5.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. You will continue to have access to paid features until then.

5.4 Free Trial

We may offer free trials for certain subscription tiers. Unless you cancel before the trial ends, you will be automatically charged for the subscription.

6. Acceptable Use

You agree not to use our Services to:

• Violate any applicable law or regulation
• Infringe on the intellectual property rights of others
• Harass, abuse, or harm another person
• Send spam or other unsolicited communications
• Distribute malware or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble our software
• Use the Services for any illegal or unauthorized purpose
• Use automated means to access the Services without our permission
• Circumvent any access controls or usage limits

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all content, features, and functionality, are owned by MindCore and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

7.2 Your Content

You retain ownership of any content you create or upload to our Services. By using our Services, you grant us a limited license to process your content solely for the purpose of providing the Services to you.

7.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use such feedback without restriction or compensation to you.

8. Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We do not warrant that:

• The Services will meet your specific requirements
• The Services will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Services will be accurate or reliable
• Any errors in the Services will be corrected

Our AI systems are designed to assist but should not be relied upon for critical decisions, medical advice, legal advice, or any situation where errors could cause harm.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDCORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to these Terms or the Services shall not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless MindCore and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

• Your access to or use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination:

• Your right to use the Services will immediately cease
• You may request export of your data within 30 days
• We may delete your account and data after 30 days
• Provisions that by their nature should survive will survive termination

13. Modifications to Services

We reserve the right to modify, suspend, or discontinue the Services (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Services.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in any court of competent jurisdiction.

CLASS ACTION WAIVER: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Changes to Terms

We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after revisions become effective, you agree to be bound by the revised Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and MindCore regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
• Waiver: Our failure to enforce any right or provision will not be considered a waiver of those rights.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
